These Terms of Service ("Terms") govern your access to and use of the CiviCordia platform, including the reunion and alumni-networking service made available at the civicordia.ai domain and its subdomains, and related applications and features (collectively, the "Service"). The Service is operated by Cosmaya Global LLC, a Massachusetts limited liability company with its registered address at 37 Old Nourse Street, Westborough, MA 01581, USA ("we," "us," "our," or the "Company").
By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1.1 You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
1.2 By using the Service you represent that the information you provide is accurate, that you are using the Service for lawful purposes, and that you have the authority to agree to these Terms.
1.3 The Service is offered in connection with specific communities (for example, the CEG alumni community). Access to a community may require that you are a member of, or affiliated with, that community, and may be subject to additional community rules.
1.4 Closed beta. During the current closed beta, access is limited to invited members of a single alum community (CEG). Additional communities may be enabled with notice.
2.1 CiviCordia is an agentic community platform. Each user is represented by a personal AI agent (referred to as "Cora") that acts on your behalf and under your control to help you build your profile, discover and connect with other members, and manage the information you choose to share.
2.2 Onboarding and content capture. The Service may capture information you provide through text, voice conversation, uploaded documents, and third-party sources you authorize (for example, a LinkedIn profile you ask us to process). This information is used to build your profile and to enable networking features.
2.3 AI-generated content. Cora and other features use artificial intelligence (including third-party AI models) to generate summaries, suggestions, draft messages, and match recommendations. AI output can be inaccurate, incomplete, misleading, or out of date, and may contain material inaccuracies even when it appears accurate. You are responsible for reviewing anything the Service drafts or suggests before you act on it or send it to another person.
2.4 No professional advice. The Service and any AI output are provided for general networking and informational purposes only and do not constitute legal, financial, medical, career, or other professional advice.
2.5 AI-system transparency. You are interacting with an AI system. Cora is an AI-powered personal agent, and the Service uses AI throughout — for onboarding conversations, profile generation, discovery, and drafted messages. Consistent with Regulation (EU) 2024/1689 (the EU AI Act) Article 50(1), we make this clear both here and in the product itself.
3.1 The Service is currently offered as a beta / early-access release. It may contain bugs, may change or be discontinued, and may be unavailable from time to time. The current beta cohort is limited to approximately 25–100 invited alumni of a single alum community (CEG).
3.2 The Service is provided "as is" and "as available" during this period. Features, availability, and these Terms may change. We may add, modify, or remove functionality at any time.
4.1 Account creation. You may create an account by (a) verifying your email with a one-time code, or (b) being matched to an organizer-provided registration list.
4.2 Email verification. Where your account is created without immediate email verification (for example, via a registration-list match), you agree to verify your email address when prompted, so that we can secure and, if necessary, help you recover your account. Certain features may require a verified email.
4.3 Account security. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at raj@cosmaya.global of any unauthorized use.
4.4 One person, one account. Accounts are for individual, natural persons. You may not impersonate another person or misrepresent your identity or affiliation.
5.1 You own your content. As between you and the Company, you retain ownership of the personal information, profile content, voice recordings, documents, and other materials you provide ("Your Content").
5.2 License to operate the Service. You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, analyze, and display Your Content solely to provide the Service to you and to the communities and members you choose to share with, and as described in the Privacy Policy. We do not use Your Content, or AI-derived assertions about you, to train or fine-tune AI models. This license ends when you delete Your Content or your account, except (a) for content you have shared with other members or communities and that they have retained, and (b) for backups or records we must keep for legal, security, or audit purposes, for up to 12 months.
5.3 Your control over sharing. The Service is designed so that you control what is shared and with whom. Some information you add to your profile or share in a community may be visible to, or discoverable by, other members. Do not share information you are not comfortable being seen by the members or communities you participate in.
5.4 Third-party information. If you provide information about other people (for example, in a message or a document), you represent that you have the right to do so and that your use complies with applicable law.
5.5 Accuracy. You are responsible for the accuracy of Your Content. AI-derived summaries of Your Content may contain errors; you can review, correct, or remove them.
5.6 AI-derived assertions about you. The Service generates and stores discrete factual assertions about you (for example, "offers help with cloud migrations"), derived by AI from what you share. These assertions are personal data about you, and you have the full rights over them described in our Privacy Policy — including the right to access, correct, complete, restrict, and delete them. As between you and us, we do not claim these assertions as "Your Content" for the purposes of Section 5.1, because they are generated by the Service rather than authored by you; this affects intellectual-property allocation only and does not limit any of your rights over your personal data.
Like all AI-generated content, these assertions may be inaccurate, incomplete, misleading, or not suitable for their purpose, even when they appear accurate because of their level of detail or specificity, and they may reflect an AI's interpretation rather than what you intended. You should independently verify any assertion before relying on the Service to represent you to others.
These derived assertions are what other members' personal agents read when describing you within your community. You may review, correct, mark private, or delete any individual assertion at any time through the My Context area of the Service. Your correction or deletion is the definitive record.
Correction notification to recipients. Where we hold a record of which members received a given assertion about you, we will notify those members of your correction. Three structural limits apply, and we state them plainly:
We commit to notify where the record allows it; we do not promise complete recipient tracing across all past disclosures.
6.1 The Service enables members to discover and connect with one another. When you search for or request to connect with another member, limited information about your interest may be shared with that member or handled by their agent, consistent with the Privacy Policy.
6.2 You agree to interact with other members respectfully and lawfully. You are solely responsible for your communications and dealings with other members. The Company does not vet members and is not responsible for the conduct, statements, or reliability of any member.
6.3 Introductions, matches, and recommendations are suggestions only. Any relationship, transaction, mentorship, employment, or other arrangement you enter into with another member is solely between you and that member.
6.4 AI-generated descriptions of other members. When you view or search for another member on the Service, any description you see of them is written by an AI (Cora) as a summary of that member's factoms — the discrete AI-derived assertions the Service holds about them. It is a summary, not a quotation, and can be inaccurate, incomplete, or misleading. It reflects what the model synthesized from that member's records at the moment you searched; it is not a statement they made to you directly, and it may not capture the whole person. You should independently verify anything you rely on before acting on it or communicating it to others. An in-product disclaimer accompanies each such description.

We may remove content and suspend or terminate accounts that violate these Terms.
8.1 The Service relies on third-party providers, which may include AI/model providers, cloud hosting, email delivery, and data-processing services (for example, profile-import processing). Your use of the Service may involve processing of your data by these providers as described in the Privacy Policy.
8.2 Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party services, and links or integrations do not imply our endorsement.
9.1 Our IP. The Service, including its software, design, "CiviCordia" and "Cora" names and branding, and all related intellectual property, is owned by the Company or its licensors and is protected by law. Except for the rights expressly granted to you here, we reserve all rights.
9.2 Limited license to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use within your communities.
9.3 Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, share, retain, and protect your information, the third parties that process it, and the rights available to you under applicable law (which may include the EU GDPR, India's DPDP Act 2023, and US state privacy laws). Please review it carefully.
11.1 By you. You may stop using the Service and delete your account at any time. On deletion, we will remove or de-identify Your Content as described in the Privacy Policy, subject to the limited exceptions in Section 5.2.
11.2 By us. We may suspend or terminate your access, with or without notice, if you violate these Terms, if we are required to by law, or if we discontinue the Service.
11.3 Sections that by their nature should survive termination (including Sections 5.2, 9, 12, 13, 14, 16, and 17) will survive.
12.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
12.2 We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI output, matches, or information will be accurate, complete, or reliable.
12.3 Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, some of the above exclusions may not apply to you.
13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Company and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
13.2 To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed USD $100.
13.3 Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
13.4 Nothing in this Section limits liability that cannot be limited under applicable law, including for gross negligence, willful misconduct, or claims under Massachusetts General Laws chapter 93A.
To the extent permitted by law, you agree to indemnify and hold harmless the Company and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, your interactions with other members, or your violation of these Terms or applicable law.
15.1 We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying you in the Service).
15.2 Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.
16.1 These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict-of-laws principles.
16.2 Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Massachusetts, USA, and you consent to the personal jurisdiction of those courts.
16.3 Nothing in this Section limits any non-waivable rights you have under the mandatory laws of your country of residence.
17.1 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and the Company regarding the Service.
17.2 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
17.3 No waiver. Our failure to enforce a provision is not a waiver of it.
17.4 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
